Overview

7X, a leading solar developer, is seeking an attorney, with a focus on project development. The successful candidate will have national transactional experience working on 7X Energy solar projects through the entire project’s life cycle from obtaining site control to financial close.  In a very hands-on role, this position will work independently with little guidance, but will have access to internal administrative support.

Responsibilities

  • Draft and negotiate various real estate agreements, including purchase and sale agreements, option agreements, leases, license agreements, term sheets, letters of intent, conservation agreements, mineral rights waivers, crossing agreements, franchise agreements, development agreements, water agreements, confidentiality agreements, and similar agreements
  • Communicate with landowners and their attorneys regarding the execution of real estate documents
  • Conduct due diligence on title issues and negotiate title policy coverage and respond to real due diligence questions to facilitate project financing
  • Advise the project development team on permitting and land use matters, including federal, state, and local environmental requirements applicable to the development of utility-scale solar energy projects
  • Assist in negotiations and drafting, and work with outside counsel, on various project related agreements including Power Purchase Agreements, ISDAs, EPC Agreements, Equipment Supply Agreements, NDAs, Term Sheets, Lending Documents, Interconnection Agreements, and M&A documents.
  • Work with the 7X accounting team to assist in preparation of internal corporate organizational documents and inter-company agreements associated with the company’s various project entities and associated filings and registrations
  • Maintain and continuously improve standard form agreements, where applicable; such as option agreements, purchase and sale agreements, leases, term sheets and related form contracts
  • Review and interpret the requirements of governmental agencies, laws, statutes, rules, regulations and court decisions; advise on new legislative and regulatory requirements and recommend changes to policies and processes, as appropriate
  • Identify, monitor, and assist in managing risks to the Company, including maintaining close contact with industry organizations to become aware of and understand inherent emerging risks that could affect the Company’s operation
  • Work with external legal counsel on corporate, M&A and project finance related matters as assigned to ensure efficient and effective completion of tasks

Required Skills

  • Juris Doctorate – Must be a graduate of an accredited law school and admitted to the state bar of Texas
  • Have a minimum of 5+ years relevant legal experience, including demonstrated knowledge and experience in utility-scale solar development
  • Must be able to effectively communicate across broad cross-functional transactional teams (project development, operations, finance, tax, risk management, accounting, legal, and others)
  • Be an effective and pragmatic business-oriented legal advisor
  • Have high adaptability to fluid business models
  • Exceptional written and verbal communication
  • Highly organized multi-tasker
  • Demonstrate ability to perform with minimal oversight; strong initiative
  • Based in the Austin, TX office

Education

Must be a graduate of an accredited law school and admitted to the state bar of Texas
